• We negotiate and prepare definitive purchase or lease agreements and related acquisition or lease documents.
• We enhance our client’s due diligence team by providing a comprehensive review and analysis of title, survey, water rights, drainage easements, licenses, membership programs, equipment leases, zoning and land use issues, ADA compliance, liquor license and environmental matters.
• During the due diligence phase of acquisition, we work closely with the Director of Acquisitions to ensure that all due diligence materials are received and reviewed and that any issues are addressed and resolved during the applicable time period.
• We work closely with developers to define any construction and development issues and formulate a strategic plan to resolve those issues. These can include land use, zoning, entitlements, governmental subsidy or participation, water rights, effluent, wetlands, sensitive habitat, and hazardous materials remediation.
• We negotiate and prepare the documentation necessary to reflect the interrelationships of the golf course and the surrounding community or resort. This documentation includes development agreements, access, utility and drainage easements, cost-sharing agreements, and reciprocal use agreements.
• For a number of golf courses and resorts world wide RDB has structured equity/non-equity membership programs in conformance with applicable federal and state securities laws and regulations, federal and state income tax laws and regulation, state and local property tax laws, and the regulations of the Department of Alcoholic Beverage Control. We develop close working relationships with the federal and state governmental agencies who have responsibility or jurisdiction for reviewing such transactions.
• We have extensive experience in all aspects of financing. For more than twenty years we have served as both lenders’ and borrowers’ counsel in countless lending transactions, uniquely qualifying our firm to address and resolve all of the issues that may arise in connection with any lending transaction. For example, RDB closed more than $150 million in golf course loans for Textron Financial Corporation, the #1 golf course lender in the country. Our attorneys also have expertise in all areas relating to club and resort operations, including preparation and review of membership bylaws, rules and regulations, management agreements, food and beverage concession agreements, licenses and permits, homeowners and property owners association issues, environmental issues, equipment lease agreements, property taxes, sales and marketing programs, and employment agreements.
